proof of registration in the professional or trade register in accordance with the legislation of the country in which the candidate/candidate group is established, provided that the candidate/candidate group is registered in the professional or trade register or that registration is required by law. In case of non-registration: Submission of a business registration. For foreign applicants: Comparable proof or submission of a self-declaration that there is no comparable register in the country where the candidate is established [self-declaration to be drawn up by the candidate]). The proof must at least identify the persons authorised to represent the company. The proof must not be older than 12 months at the time the deadline for submitting requests to participate expires.

b) Absence of grounds for exclusion according to § 123 and § 124 GWB.

In the case of candidate groups, the declaration must be submitted individually for each member of the candidate group. In the case of the aptitude loan, the declaration must also be submitted for the aptitude lending company.

c) Fulfilment of the obligation to pay taxes and levies as well as social security contributions.

Important note: At the request of the client, corresponding confirmations from third parties (certificates of non-objection from the responsible tax office as well as the social security funds and the responsible professional association) must be presented. Insofar as such safety certificates are not available in the country in which an applicant is established, comparable certificates shall be submitted to the extent that such certificates are available in any event. Where comparable certificates are also not available, a supplementary self-declaration to the effect that a comparable certificate is not available in the country of the applicant’s registered office shall be submitted [self-declaration to be drawn up by the applicant]. The supporting documents must not be older than 12 months at the time of their submission.

In the case of applicant groups, the self-declaration (form Lot1_8) with the request to participate must be submitted individually for each member of the applicant group. Any certificates to be submitted only on request or the supplementary self-declaration that in the country of the respective registered office a comparable

If the certificate is not available, it must also be submitted for each member of the applicant group. In the case of the aptitude loan, the self-declaration (form Lot1_8) must also be submitted with the application for participation for the aptitude lending company. Any certificates to be submitted only on request or the supplementary self-declaration that a comparable certificate is not available in the country of the respective seat must also be submitted for the granting company.

d) No connection of the applicant or a member of an applicant community to Russia within the meaning of Article 5k of Regulation (EU) 2022/576.

In the case of applicant groups, declarations must be submitted for each member individually.

a) turnover in the field of activity of the contract in relation to the last three financial years. The scope of the contract includes all activities relating to the reference categories (see point III.1.3 – ‘References’), including transactions from activities below the thresholds set out therein. In the case of applicant groups, the turnover must be indicated individually for each member. If a company has not been active on the market for so long, i.e. less than three financial years, it submits a business plan for the missing years.

b) Proof of a currently existing company, transport and environmental liability insurance to cover property, personal injury and financial loss. The business, transport and environmental liability insurance must cover at least EUR 10 million in each case. The compensation of the insurance per year must be at least twice the above-mentioned coverage amounts (i.e. the insurance must be twice maximised per year). The proof shall not be older than six months at the time of expiry of the time limit for submitting requests to participate. If there is currently no insurance with these coverage amounts, the declaration of an insurer (in uncertified copy) must be provided, in which the insurer confirms that he is willing to take out a corresponding insurance(s) with the applicant or to increase the coverage amounts of an existing insurance accordingly. This declaration shall not be older than six months at the time of expiry of the time limit for submitting requests to participate.

c) A "good credit rating" confirmed by a third party (the following ratings apply in particular as "good credit rating": Creditreform's rating <250; Rating Ba2 or better from the agency Moody's; Rating BB or better from the agency Standard & Poor's; Rating BB or better of the agency Fitch). In the case of applicant groups, proof of a corresponding rating shall be provided for each member individually. If the applicant or the applicant community relies on the economic and financial capacity of another company (fitness loan), the rating must also be submitted for the respective suitability lending company.

the applicant shall provide evidence that, in relation to the last three audited financial years, an equity ratio of 20 % has not been exceeded in accordance with the accounting rules applicable to the applicant; In the case of candidate groups, proof must be provided for each member individually. If the applicant or the applicant community relies on the economic and financial capacity of another company (loan), proof must also be provided for the respective aptitude-lending company. Applicants who have not yet worked for three audited financial years must provide proof of the period from the date of incorporation. The same applies to members of an applicant community and aptitude-granting companies, insofar as proof must be submitted for them.

a) Der konsolidierte Gesamtumsatz des Bewerbers im Tätigkeitsbereich des Auftrags muss im Durchschnitt über die letzten drei Geschäftsjahre mind. 1,2 Mrd. Euro betragen haben. Soweit ein Unternehmen weniger als drei Geschäftsjahre auf dem Markt tätig ist, muss sich der durchschnittliche Mindestjahresumsatz von 1,2 Mrd. Euro aus der Unternehmensplanung ergeben. Bei Bewerbergemeinschaften werden die jeweiligen durchschnittlichen Umsätze der Einzelmitglieder in Summe berücksichtigt.

b) Nachweis einer bestehenden Versicherung entsprechend den vorstehenden Vorgaben oder Bestätigung des Versicherers über die Bereitschaft zur Erhöhung der Deckungssummen oder den Abschluss einer Haftpflichtversicherung mit entsprechenden Deckungssummen im Auftragsfall. Bei Bewerbergemeinschaften muss die gesetzte Mindestbedingung durch die Mitglieder der Bewerbergemeinschaft insgesamt erfüllt werden. Im Auftragsfall muss sich der Versicherungsschutz auch auf die Bewerbergemeinschaft bzw. die für den Auftragsfall gebildete Arbeitsgemeinschaft beziehen.

c) Das Rating des Bewerbers muss mindestens eine „gute Bonität“ im o.g. Sinne ausweisen. Im Falle von Bewerbergemeinschaften: Jedes Einzelmitglied der Bewerbergemeinschaft muss mindestens eine „gute Bonität“ ausweisen.

Soweit nach den vorstehenden Festlegungen auch ein Nachweis für ein oder mehrere eignungsverleihende Unternehmen einzureichen ist, weil sich ein Bewerber bzw. eine Bewerbergemeinschaft auf die wirtschaftlichen und finanzielle Leistungsfähigkeit eines oder mehrerer eignungsverleihender Unternehmen beruft, muss/müssen auch das/die jeweilige/n eignungsverleihende/n Unternehmen mindestens eine „gute Bonität“ aufweisen.

d) Innerhalb der letzten drei testierten Geschäftsjahre wurde die Eigenkapitalquote von 20 % nicht unterschritten. Bei Bewerbern, die weniger als drei testierte Geschäftsjahre tätig sind, gilt, dass im bisherigen Geschäftsbetrieb keine Unterschreitung der Eigenkapitalquote von 20 % erfolgt sein darf. Im Falle von Bewerbergemeinschaften findet eine Gesamtschau statt. Hierbei muss entsprechend nachgewiesen werden, dass der Durchschnitt der Eigenkapitalquoten sämtlicher Mitglieder der Bewerbergemeinschaft in den letzten drei testierten Geschäftsjahren mindestens 20 % betragen hat, mithin die auf die Bewerbergemeinschaft insgesamt bezogene durchschnittliche Eigenkapitalquote nicht unter 20 % lag. Soweit nach den vorstehenden Festlegungen auch ein Nachweis für ein oder mehrere eignungsverleihende Unternehmen einzureichen ist, weil sich ein Bewerber bzw. eine Bewerbergemeinschaft auf die wirtschaftliche und finanzielle Leistungsfähigkeit eines oder mehrerer eignungsverleihender Unternehmen beruft, erfolgt ebenfalls eine Gesamtschau von Bewerber bzw. Bewerbergemeinschaft und dem/den jeweiligen eignungsverleihendem/n Unternehmen. Hierbei muss entsprechend nachgewiesen werden, dass der Durchschnitt der Eigenkapitalquoten der zu berücksichtigenden Unternehmen (Bewerber und jeweilige/s eignungsverleihende/s Unternehmen bzw. sämtlicher Mitglieder der Bewerbergemeinschaft und jeweilige/s eignungsverleihende/s Unternehmen) in den letzten drei testierten Geschäftsjahren mindestens 20 % betragen hat, mithin die durchschnittliche Eigenkapitalquote der zu berücksichtigenden Unternehmen nicht unter 20 % lag.

Weitere Konkretisierungen enthält folgendes Dokument (Los1_4_Zusammenfassung_Eignungsanforderungen):

a) Anzahl Beschäftigte nach folgenden Personalkategorien (PK):

PK 1 (Projektleitung): Ingenieur mit Hochschulabschluss + mind. 5 Jahren Berufserfahrung im Bereich der Leitung von Projekten, die im Tätigkeitsbereich des Auftrags liegen.

PK 2: Ingenieure mit Hochschullabschluss + mind. 5 Jahren Berufserfahrung im Tätigkeitsbereich des Auftrags.

PK 3: Ingenieure oder technisches Fachpersonal + mind. 3 Jahren Berufserfahrung im Tätigkeitsbereich des Auftrags.

PK 4: Mitarbeiter mit Hochschulabschluss + mind. 3 Jahren Berufserfahrung im Bereich Qualitäts- und Projektmanagement in Projekten, die im Tätigkeitsbereich des Auftrags liegen.

Zum Tätigkeitsbereich des Auftrages gehören alle Tätigkeiten, auf die sich auf die Referenzkategorien (vgl. unten unter "Referenzen“) beziehen.

b) Zertifizierung gemäß ISO 14001 oder gleichwertige Zertifizierung oder - bei Vorliegen der Voraussetzungen in Anlehnung an § 49 Abs. 2 S. 3 VgV - Nachweis über gleichwertige Umweltmanagementmaßnahmen.

[Nachweis: Vorlage Zertifikat oder Eigenerklärung über Erfüllung der Voraussetzungen des § 49 Abs. 2 Satz 3 VgV sowie Vorlage von Dokumenten zum Nachweis über Vorhandensein gleichwertiger Umweltmanagementmaßnahmen und Erläuterung der Gleichwertigkeit].

c) Zertifizierung gemäß ISO 50001 oder gleichwertige Zertifizierung oder - bei Vorliegen der Voraussetzungen in Anlehnung an § 49 Abs. 1 S. 3 VgV - Nachweis über gleichwertige Maßnahmen/Systeme.

d) Wenn eine bestehende Zertifizierung nach ISO 14001 nicht nachgewiesen wird: weitere Eigenerklärung, dass im Falle der Beauftragung ein Umweltmanagementsystem i.S.v. Ziff. 7 des Annex 6.2 HPA eingeführt wird und man sich entsprechend den dortigen Vorgaben zertifizieren lässt.

e) Referenzen über die Ausführung von vergleichbaren Leistungen seit dem 1.1.2016; die Referenz muss mind. eine der Referenzkategorien (RK) abdecken:

- RK 1: Erzeugung von Wasserstoff (kein Farbbezug, d.h. die Referenzkategorie ist nicht auf die Erzeugung von grünem Wasserstoff beschränkt) in vergleichbarer Größenordnung. Die Vergleichbarkeit setzt voraus, dass innerhalb des maßgeblichen Zeitraums (01.01.2016 bis heute) in mindestens drei Jahren die Schwelle von 5.000 t/a erzeugtem Wasserstoff erreicht oder überschritten worden ist.

- RK 2: Lieferung bzw. Erzeugung von grünem Strom (Power Purchase Agreement, d.h. Stromliefervertrag, oder Selbsterzeugung bzw. Direktbezug). Die Vergleichbarkeit setzt voraus, dass innerhalb des maßgeblichen Zeitraums (01.01.2016 bis heute) in mindestens drei Jahren die Schwelle von 100 GWh/a erreicht oder überschritten worden ist.

- RK 3: Bau von großtechnischen Anlagen für die Erzeugung von Wasserstoff, Wasserstoffderivaten (synthetisches Methan, Ammoniak, LOHCs, Methanol, Synfuels) oder technisch/chemisch vergleichbare Produkte. Von einer „großtechnischen Anlage“ ist auszugehen, wenn die Anlage eine Kapazität von 5.000 t/a oder mehr hat

- RK 4: Betrieb von großtechnischen Anlagen für die Erzeugung von Wasserstoff, Wasserstoffderivaten (synthetisches Methan, Ammoniak, LOHCs, Methanol, Synfuels) oder technisch/chemisch vergleichbare Produkte. Von einer „großtechnischen Anlage“ ist auszugehen, wenn die Anlage eine Kapazität von 5.000 t/a oder mehr hat

- RK 5: vergleichbare Transportleistungen von Gefahrengütern mit einer dem angebotenen Wasserstoffderivat vergleichbaren GHS-Einstufung. Die Vergleichbarkeit setzt voraus, dass die Transportleistung via Seetransport (per Schiff) erbracht worden ist und innerhalb des maßgeblichen Zeitraums (01.01.2016 bis heute) in mindestens drei Jahren die Schwelle von 1.000 t/a erreicht oder überschritten worden ist.

a) The applicant shall have the following staff in each category of staff:

PK1: at least 2.0 Full Time Equivalent

PK 2: at least 5.0 Full Time Equivalent

b) Is there certification in accordance with ISO 14001 or certification in accordance with ISO 50001 or is there any other certification that is equivalent to one of the two aforementioned certifications, or - if the conditions are proven to be met in accordance with § 49(2) sentence 3 VgV or if the conditions are proven to be met in accordance with § 49(1) sentence 3 VgV - proof of the existence of environmental measures or measures/systems that are equivalent to one of the two aforementioned certifications (ISO 14001 or ISO 50001)? If an existing certification according to ISO 14001 is not proven: additional submission of the further self-declaration that, in the event of assignment, an environmental management system within the meaning of point 7 of Annex 6.2 HPA will be introduced and that the applicant will be certified in accordance with the requirements therein [self-declaration to be drawn up by the applicant].

c) At least 2 references of comparable performance shall be provided in each of the 5 reference categories (RC); the references must relate to services from the period 01.01.2016 to the present day. Consideration presupposes that the reference project is comparable to the required service package, both project-specific and topic-specific. A reference is comparable, in particular, in the case of services which indicate the suitability of the applicant in terms of size and complexity. Comparability requires at least that one of the above-mentioned reference categories (RC) is covered, whereby the threshold defined in each case must be reached or exceeded.

A reference may be taken into account in respect of several of the abovementioned reference categories, provided that it covers those reference categories and that the requirements set out above are met. The coverage of several reference categories by a reference project presupposes the cumulative fulfilment of the respective requirements by the reference project; this requires, in particular, that the relevant reference project has actually provided activities or deliverables from several of the reference categories. A reference project can only be considered once per reference category.

Note: In the case of candidate groups, the minimum condition set must be met by the members of the candidate group as a whole. If one and the same reference project is submitted for several members of the applicant community, the consideration is only simple (= 1 reference).

Im Hinblick auf die Einlegung von Rechtsbehelfen beachten Sie bitte die folgenden Hinweise:

Die vorliegende Veröffentlichung betrifft nicht die Vergabe eines öffentlichen Auftrages im Sinne des Kartellvergaberechts. Die Auftraggeberin ist weder öffentlicher Auftraggeber noch Sektorenauftraggeber. Der Anwendungsbereich des 4. Teils des GWB und der VgV ist nicht eröffnet. Ein Vergabenachprüfungsverfahren ist daher nicht statthaft.

Nur wenn das Rechtsschutzziel eines Rechtsbehelfs darauf gerichtet ist, das Vorliegen eines öffentlichen Auftrages im Sinne von § 103 GWB zu behaupten, könnte der Rechtsweg zu den Vergabenachprüfungsinstanzen nach den §§ 160 ff. GWB eröffnet sein. Die Angabe der Vergabekammer sowie der Regelungen aus dem GWB erfolgt daher nur vorsorglich und ist nicht mit einer Unterwerfung unter vergaberechtliche Regelungen (§§ 97 ff. GWB) verbunden.

Unbeschadet dessen gilt § 160 Abs. 3 GWB:

Der Antrag ist unzulässig, soweit

1. der Antragsteller den geltend gemachten Verstoß gegen Vergabevorschriften vor Einreichen des Nachprüfungsantrags erkannt und gegenüber dem Auftraggeber nicht innerhalb einer Frist von zehn Kalendertagen gerügt hat; der Ablauf der Frist nach § 134 Abs. 2 GWB bleibt unberührt,

2. Verstöße gegen Vergabevorschriften, die aufgrund der Bekanntmachung erkennbar sind, nicht spätestens bis zum Ablauf der in der Bekanntmachung benannten Frist zur Bewerbung oder zur Angebotsabgabe gegenüber dem Auftraggeber gerügt werden,

3. Verstöße gegen Vergabevorschriften, die erst in den Vergabeunterlagen erkennbar sind, nicht spätestens bis zum Ablauf der Frist zur Bewerbung oder zur Angebotsabgabe gegenüber dem Auftraggeber gerügt werden,

4. mehr als 15 Kalendertage nach Eingang der Mitteilung des Auftraggebers, einer Rüge nicht abhelfen zu wollen, vergangen sind.
